Terms & Conditions

These Terms & Conditions ("Terms") form an agreement between you and HuzaLabs, which operates HuzaLink ("HuzaLink", "we", "us"). By creating an account, subscribing to a plan or alerts, or otherwise using HuzaLink, you agree to these Terms. If you use HuzaLink on behalf of an organization, you confirm that you are authorized to bind that organization, and "you" includes it. If you do not agree, do not use HuzaLink.

HuzaLink helps businesses find and win contract opportunities. Our services include opportunity alerts, opportunity and procurement intelligence, a marketplace, partner and expert matching, bid compliance assessments, bid pricing guidance, proposal preparation, and AI-assisted tools. The features available to you depend on your plan.

Opportunity information comes from public and third-party sources. We work to keep it accurate and current, but we do not guarantee that any listing is complete, error-free or still open, and you should confirm details with the issuing organization before bidding. We do not guarantee that you will win any contract.

• You must be at least 18 years old to use HuzaLink.
• Provide accurate, current information and keep it up to date.
• Keep your password confidential. You are responsible for all activity under your account; tell us at once at info@huzalabs.com if you suspect unauthorized use.
• Accounts are for the named user or organization and may not be shared, resold or transferred without our written consent.

Plans, prices and included features are shown on our Plans page and at checkout. Prices are in US dollars unless stated otherwise and exclude applicable taxes.

• Prepaid plans are billed in advance for each billing period (monthly or, where offered, annually) and renew automatically until cancelled.
• Post-paid plans (where offered) require no upfront payment; fees are invoiced in arrears and are due within the payment period stated on your invoice or plan.
• Payments are processed by third-party providers such as Stripe, DPO and Irembo / mobile money, and are also subject to their terms.
• If a payment fails or an invoice is overdue, we may suspend access to paid features until it is settled.
• We may change prices for future billing periods with at least 30 days' notice. Changes do not affect a period you have already paid for.

Some plans (currently Gold, Platinum and above) include a success fee, shown as a percentage on the plan (for example 3% or 4%). The success fee is payable when a contract is awarded to you, or to a bid team or consortium you lead or join, for an opportunity that HuzaLink identified, matched or supported during your subscription.

• The fee is calculated on the value of the contract awarded to you (or your share of it, for a joint bid), excluding taxes.
• You agree to tell us within 14 days of being notified of such an award and to share the information we reasonably need to calculate the fee.
• The success fee is invoiced on award and is payable within 30 days, unless we agree a payment schedule tied to the client's payments to you.
• The obligation applies to awards made up to 12 months after your subscription ends, for opportunities supported during it, and survives cancellation of your plan.

You can cancel a subscription at any time from your account or by contacting us. Cancellation takes effect at the end of the current billing period, and you keep access until then.

Except where the law requires otherwise, fees already paid — including subscription fees, AI credit purchases and fees for services already delivered — are non-refundable. If you believe you were charged in error, contact info@huzalabs.com within 30 days of the charge and we will review it.

You can unsubscribe from opportunity alert emails at any time through the link in every alert or your subscription preferences.

• Some AI features consume credits, which are included in certain plans or bought as credit packs. The credits each action uses are shown in the platform.
• Credits have no cash value, are not transferable and cannot be exchanged for money. Unless stated otherwise, plan credits expire at the end of each billing period.
• AI output is generated automatically and may be inaccurate or incomplete. You are responsible for reviewing it and for anything you submit to a client or tendering authority.
• You must have the right to upload any documents you submit to our AI tools, including any personal data they contain (for example CVs).

When we introduce you to partners, experts, subcontractors or other third parties, any agreement you make with them is between you and them. We take reasonable care in matching, but we are not a party to those agreements and are not responsible for their performance, conduct or the accuracy of information they provide. Our services may also link to third-party websites that we do not control.

If you take part in our referral program as an agent, commissions are earned only on qualifying sign-ups and payments as described in the program details shown in your dashboard. We may withhold or reverse commissions obtained through self-referrals, fake accounts, spam or other abuse, and may change or end the program with notice.

You agree not to:

• break any law, or use HuzaLink for bid rigging, collusion, fraud, bribery or other corrupt procurement practices;
• scrape, copy, resell or redistribute opportunity data or other content from HuzaLink, except for your own internal bidding purposes;
• upload content that is unlawful, infringes others' rights or contains malware;
• try to gain unauthorized access to HuzaLink, other accounts or our systems, or disrupt or overload the platform;
• impersonate anyone or misrepresent your qualifications or your organization.

You keep ownership of the content and documents you upload. You give us a limited licence to host, process and use them only to provide the services to you, as described in our Privacy Policy.

Deliverables we prepare for you under a paid service (such as a proposal) are yours to use once the related fees are paid. HuzaLink itself — the platform, software, design, compiled data and branding — belongs to us or our licensors and is protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable right to use it in line with these Terms.

We treat the non-public bid documents, pricing and business information you share with us as confidential and use them only to deliver our services, except where disclosure is required by law or needed to perform a service you asked for (for example, sharing relevant parts with a matched partner).

We may suspend or close your account if you seriously or repeatedly breach these Terms, fail to pay amounts due, or if required by law. You may close your account at any time. On termination your right to use HuzaLink ends, but sections that by their nature should continue — including payment obligations, success fees, intellectual property, disclaimers and limitation of liability — survive.

HuzaLink is provided "as is" and "as available". To the extent permitted by law, we disclaim all implied warranties, including fitness for a particular purpose, and we do not promise that the service will be uninterrupted or error-free.

To the extent permitted by law, we are not liable for indirect, incidental or consequential losses, or for lost profits, lost contracts or lost data. Our total liability arising from these Terms or the services is limited to the fees you paid us in the 12 months before the event giving rise to the claim. Nothing in these Terms limits liability that cannot be limited by law.

You agree to indemnify us against claims arising from your misuse of HuzaLink, your content, or your breach of these Terms.

We may update these Terms from time to time. We will post the new version here with a new "last updated" date and, for material changes, give you at least 30 days' notice by email or in the platform. Continuing to use HuzaLink after changes take effect means you accept them.

These Terms are governed by the laws of the Republic of Rwanda. We will first try to resolve any dispute amicably; if that fails within 30 days, the dispute will be submitted to the competent courts of Kigali, Rwanda.
